Terms of Service
Effective October 16, 2026 · Version terms-2026-10-16.1
These Terms govern the use of Novano by tutoring centers, tutors, and the staff, students and families they invite. We've tried to write them to be read, not just accepted.
1. The agreement
These Terms are an agreement between Novano, Inc., a Delaware corporation(“Novano,” “we”), and the business or individual that creates a Novano account (the “Customer,” “you”). If you accept them on behalf of a business, you confirm you have authority to bind it.
The Customer may invite staff, tutors, students and parents or guardians (“Users”). The Customer is responsible for its Users' use of Novano and for making sure they follow these Terms. Our Privacy Policy explains how we handle personal information and forms part of these Terms.
If you are a parent, guardian or student using a center's portal, these are not the terms that apply to you — see the Portal Terms of Use, which are short and cover only what a portal user needs.
2. Accounts
- Give accurate account information and keep it current.
- Keep sign-in credentials and magic links private, and tell us promptly at support@novano.ai if you suspect unauthorized access.
- Assign roles deliberately. Access within your account follows the roles you give people, and you are responsible for who you invite and what they can see.
- Accounts for a business must be created by someone at least 18 years old.
3. Using Novano
Subject to these Terms and payment of applicable fees, we grant the Customer a non-exclusive, non-transferable right for its Users to use Novano for the Customer's tutoring or education business during the subscription term.
You and your Users must not:
- Use Novano to break any law or infringe anyone's rights.
- Upload content that is unlawful, harmful, or that you don't have the right to share.
- Try to access accounts, data or systems you aren't authorized to access.
- Probe, scan or test the service's security without our written permission.
- Copy, resell or reverse engineer Novano, or use it to build a competing product.
- Send spam or unsolicited messages to families through Novano.
- Interfere with the service or put an unreasonable load on it.
4. Demo accounts
You can explore Novano with a demo account: your own account, filled with fictional sample data so you can see how a working center looks before entering anything real. It needs no card, and we charge nothing for it.
A demo account cannot send anything to anyone. While it is in demo mode we switch off every outbound channel — email, WhatsApp messages, push notifications, calendar entries and card charges. Actions you take appear in the app and go nowhere else, which is deliberate: it means you can click anything without a real family hearing from us.
For that reason, a demo account must not be used to run your center. Do not enter real student, family or staff information into it. If you do, the people concerned will not receive the reminders, notices or messages they would normally get, and the information will be removed when the demo ends. Switch to your real data first — it keeps your login, your center's name and your settings, and it turns every channel back on.
A demo account is available for a limited period, currently 14 days from the point it is ready. We show the time remaining in your account and email you before it ends. After it ends the account becomes read-only rather than disappearing, so you can still look at it; if you have not switched to your real data or started a fresh demo, we remove the sample data later. Your account, your login and your center's own details are kept. We may end or decline a demo account where it is being used other than to evaluate Novano.
5. Customer Data
“Customer Data” is the information you and your Users put into Novano — for example student, family and staff records, schedules, attendance, fees, messages and teaching materials. You own your Customer Data.
You give us permission to host, process and transmit Customer Data only as needed to provide, secure and support the service for you, and as described in the Privacy Policy. We act as your service provider for Customer Data: we process it on your instructions and don't use it for any other purpose. We may use aggregated or de-identified data that cannot reasonably identify you, your Users or any person to operate and improve Novano.
You are responsible for having the right to collect and share the Customer Data you put into Novano, including giving any notices and obtaining any consents the law requires from students, families and staff.
6. Students under 13
Where a child under 13 is given access, we ask the child's parent or guardian ourselves: we show them a notice describing what is collected and we record their agreement, and the child's access to student features stays closed until it is given. You are responsible for identifying the correct parent or guardian, for the accuracy of what you enter about a child, and for honoring a parent or guardian's request to review or delete their child's information — we will help you do so, and a parent can also ask us directly. Novano may be used only for the child's education with you — not for any commercial purpose directed at the child.
7. Nova and AI features
Nova and other AI features generate drafts, summaries, answers and suggested actions from your Customer Data. AI output can be inaccurate or incomplete. You are responsible for reviewing it before relying on it or sending it — for example before a drafted message reaches a family, or before a generated worksheet or answer key is used with a student.
Nova acts within the permissions of the person using it, and consequential actions require that person's confirmation. Actions you confirm are your actions. As between you and Novano, you own the output generated for your account, to the extent the law allows. How AI providers may use your data is set out in the Privacy Policy.
8. Subscriptions and billing
Plans and prices are listed on our Pricing page or in an order form we agree with you. New accounts may start with a free trial; at the end of the trial, your subscription begins and is charged to the payment method on file unless you cancel before the trial ends. This is separate from a demo account, which needs no card — see Demo accounts above; the trial begins when you switch to your real data.
- Subscriptions renew automatically for the same billing period until cancelled. Fees are charged in advance and are non-refundable except where the law requires otherwise.
- Where a plan's price depends on usage, such as the number of active students, your charge follows the usage recorded in your account for that billing period.
- You can cancel at any time by contacting us or, where available, in your account settings. Cancellation takes effect at the end of the current billing period.
- We may change prices with at least 30 days' notice. A change applies from your next renewal after the notice period.
- If a payment fails, we will notify you and retry. If it remains unpaid, we may suspend the account after notice until it is resolved.
- Fees exclude taxes, which you are responsible for unless we are required to collect them.
9. Payments from your families
Novano lets you track what families owe and record payments however they are made. If you choose to accept card payments through Novano, those payments are processed by Stripe under Stripe's own terms, and you are the merchant. Your relationship with each family — including your prices, refunds and policies — is between you and them. Novano is not a party to those transactions and does not hold your funds.
Any platform fee for card payments taken through Novano is shown before you enable them. Payroll and fee figures that Novano calculates are tools to help you; you remain responsible for staff pay and for meeting your tax and employment obligations.
10. Our intellectual property
Novano, including its software, design and content (other than Customer Data), belongs to us and our licensors and is protected by law. These Terms don't give you any rights in it beyond the right to use the service. If you send us feedback or suggestions, we may use them without obligation to you.
11. Third-party services
Novano works with services provided by others, such as payment processing and email delivery. Your use of a third-party service you choose to connect is governed by that provider's terms, and we are not responsible for it.
12. Suspension and termination
You may stop using Novano and cancel at any time. We may suspend or end access if you materially breach these Terms and don't fix the breach within 15 days of notice, or immediately where needed to prevent harm to Novano, other customers, students or families, or to comply with law.
After your account ends, you have 30 days to export your Customer Data, after which we delete it as described in the Privacy Policy. Sections that by their nature should survive termination — including ownership, payment obligations, disclaimers, limits of liability and indemnity — survive.
13. Confidentiality
Each of us will protect the other's non-public business information with reasonable care, use it only for the purposes of these Terms, and not disclose it except to people who need to know it and are bound to keep it confidential, or where the law requires.
14. Disclaimers
We work hard to keep Novano available and accurate, but except as expressly stated in these Terms, Novano is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that AI output will be accurate.
15. Limitation of liability
To the extent the law allows, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised of the possibility. Each party's total liability arising out of these Terms is limited to the amounts paid and payable by the Customer to Novano in the 12 months before the event giving rise to the claim. These limits do not apply to a party's indemnification obligations, a Customer's payment obligations, or liability that cannot be limited by law.
16. Indemnity
You will defend and indemnify Novano against third-party claims arising from your Customer Data, your or your Users' breach of these Terms, or your relationship with your students, families and staff. We will defend and indemnify you against third-party claims that Novano, as we provide it, infringes their intellectual property rights.
17. Changes to these Terms
We may update these Terms. We will post the new version here and update the effective date, and for material changes we will notify account owners by email at least 30 days before they take effect. Continuing to use Novano after that date means you accept the updated Terms.
18. Governing law and general terms
These Terms are governed by the laws of the State of Washington, without regard to conflict-of-laws rules. Disputes will be resolved exclusively in the state and federal courts located in King County, Washington, and both parties consent to that jurisdiction.
These Terms, together with any order form, are the entire agreement between us about Novano. If any part is unenforceable, the rest remains in effect. Neither party may assign these Terms without the other's consent, except to a successor in a merger or sale of substantially all of its business. Failure to enforce a term is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control.
